Terms of Service

1. Acceptance
By accessing or using the Verdact API ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Service.
2. Service Description
Verdact provides an API for detecting and redacting personally identifiable information (PII) from PDF and DOCX documents. The Service is developer-facing and operates on a self-serve, tiered subscription model. Documents are processed in-memory and never retained.
3. Acceptable Use
You may use the Service only for lawful purposes. The following are prohibited:
- Processing illegal content, including child sexual abuse material (CSAM)
- Attempting to circumvent quotas, rate limits, or authentication
- Reselling or sublicensing API access without a written agreement with Verdact
- Using the Service to facilitate surveillance, stalking, or harassment
- Sending malware, malicious payloads, or documents designed to exploit the processing pipeline
- Automated mass-scraping or bulk processing beyond your tier's documented limits
Verdact reserves the right to suspend accounts that violate this policy without notice.
4. Accounts
You must provide accurate information when registering. You are responsible for maintaining the confidentiality of your API key. Notify us immediately at legal@verdact.app if you believe your key has been compromised. You may rotate your key at any time via the API.
5. Pricing and Billing
- Free tier: 20 documents/month, no payment required
- Starter ($49/mo): 500 documents/month
- Pro ($199/mo): 3,000 documents/month
- Enterprise ($999+/mo): Unlimited, custom terms
Billing is monthly, processed by Stripe. Consumed usage is non-refundable. Downgrades take effect at the next billing cycle. Unpaid accounts may be suspended after 7 days.
6. Service Level
Verdact does not offer a formal SLA for Free tier users. For Starter and Pro tiers, we target 99.5% monthly uptime, excluding scheduled maintenance (announced with at least 24 hours notice) and events outside our reasonable control (force majeure). Remedies for downtime, if any, are at Verdact's sole discretion.
7. Intellectual Property
Verdact owns all rights in the API, platform, documentation, and underlying technology. You retain ownership of all documents you submit and all redacted output you receive. You grant Verdact a limited, non-exclusive license to process your documents solely to provide the Service.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERDACT'S TOTAL LIABILITY ARISING FROM OR RELATED TO THESE TERMS SHALL NOT EXCEED THE FEES YOU PAID IN THE THREE MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL VERDACT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
9. Indemnification
You agree to indemnify and hold harmless Verdact and its officers, directors, and employees from any claims, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third party's rights.
10. Termination
Either party may terminate these Terms with 30 days written notice. Verdact may terminate immediately for violations of the Acceptable Use Policy (Section 3) or non-payment. Upon termination, your access is revoked and any account data is deleted within 30 days.
11. Governing Law
These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-law principles. Disputes shall be resolved in the state or federal courts located in San Francisco County, California, and you consent to personal jurisdiction there.
12. Changes to These Terms
We will notify you of material changes via email at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
